Terms & Conditions

1. Who you're contracting with

These Terms & Conditions (the "Terms") govern your access to and use of the Siparium website, application, and related services (collectively, the "Service") provided by Siparium ("Siparium", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

2. Eligibility & account

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account. Information you provide must be accurate and kept up to date.

3. The Service

Siparium is an AI-assisted workspace for music industry professionals — covering artist scouting, deal terms, release strategy, and contract drafting. Features and limits depend on the plan you select. We may add, change, or remove features over time.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
  • send spam, phishing, or unsolicited bulk communications;
  • infringe any third party's intellectual property, privacy, publicity, or other rights;
  • upload malware, attempt to probe, scan, or test the vulnerability of the Service, or interfere with its operation;
  • scrape, mass-download, or otherwise extract data from the Service except via documented APIs;
  • resell, sublicense, or redistribute the Service without our written consent.

5. AI features — your responsibilities

The Service includes generative AI features that produce text, drafts, summaries, and suggested deal or contract language ("AI Outputs") based on inputs you provide ("Prompts"). You are responsible for your Prompts, for how you use AI Outputs, for verifying their accuracy, and for ensuring you have the rights to any content you submit.

You must not use the AI features to generate:

  • illegal content, child sexual abuse material, or content that promotes terrorism or violence;
  • deepfakes or non-consensual sexual imagery;
  • hate speech, harassment, or content targeting protected groups;
  • malware, exploits, or instructions intended to facilitate cyberattacks;
  • content designed to deceive listeners, fans, or counterparties about authorship or rights;
  • content intended to jailbreak, evade, or otherwise circumvent safety controls.

Accuracy disclosure. AI Outputs may be incomplete, inaccurate, or out of date. Drafts, clause explanations, deal-term suggestions, and royalty or financial estimates are not legal, financial, tax, or investment advice and are not a substitute for review by a qualified professional. Do not rely on AI Outputs for regulated decisions without independent review.

IP in inputs and outputs. You retain ownership of your Prompts and any content you upload. Subject to your compliance with these Terms and applicable law, we assign to you any rights we may have in AI Outputs generated for you, except for portions that incorporate our pre-existing templates, prompts, or models. You are solely responsible for confirming that your use of AI Outputs does not infringe third-party rights.

Takedown & repeat infringers. If you believe content on the Service infringes your rights, contact us at siparium.co@gmail.com with sufficient detail to identify the work and your rights. We will review and remove or restrict infringing content and may suspend or terminate accounts of repeat infringers.

Moderation. We may filter, refuse to generate, remove, or restrict Prompts and AI Outputs that we reasonably believe violate these Terms or applicable law, and may suspend accounts engaged in such conduct.

6. Your content

You retain all rights to content you upload to the Service (rosters, contacts, contracts, notes, etc.). You grant Siparium a limited, worldwide, non-exclusive licence to host, store, process, and transmit your content solely as necessary to provide the Service to you.

7. Intellectual property

The Service, including its software, design, branding, prompts, templates, and documentation, is owned by Siparium and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your selected plan. You must not reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law expressly prohibits such restrictions.

8. Plans, billing, and payment

Paid plans are billed on the cadence shown at checkout (e.g. monthly). Payments are processed by our payment provider, Stripe. By subscribing, you also agree to Stripe's End User Terms. Refund mechanics are governed by our Refund Policy.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period and you retain access until then.

9. Service availability

We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or always meet your expectations. We may schedule maintenance, change features, or temporarily suspend access for security, legal, or operational reasons.

10. Suspension & termination

We may suspend or terminate your access to the Service if:

  • you materially breach these Terms or our acceptable-use rules;
  • your payment fails and is not resolved;
  • we reasonably believe your account presents a security, fraud, or legal risk;
  • you repeatedly or seriously violate our policies, including the AI rules above.

On termination, your right to use the Service ends. We will make reasonable efforts to allow you to export your content for a limited period before deleting it.

11. Warranties & disclaimers

To the maximum extent permitted by law, the Service and AI Outputs are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that AI Outputs will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Siparium will not be liable for any indirect, consequential, special, incidental, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service. Our total aggregate liability arising out of or relating to the Service is capped at the amounts you paid Siparium for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

13. Indemnity

You agree to indemnify and hold Siparium harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from your content, your Prompts, your use of AI Outputs, your violation of these Terms, or your violation of any law or third-party right.

14. Changes to the Service or Terms

We may update these Terms from time to time. If we make material changes, we will notify you (e.g. by email or in-product notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Siparium is established, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the competent courts of that jurisdiction for any dispute arising out of or relating to these Terms or the Service, except where applicable consumer-protection law provides otherwise.
